These General Terms and Conditions govern quotations, orders, deliveries, invoices and agreements concluded with HalloW Props.
Certain provisions differ depending on whether the customer acts as a consumer (B2C) or as a professional customer (B2B). Where mandatory consumer law applies, those mandatory legal rights always prevail.
These General Terms and Conditions apply to all quotations, orders, deliveries, invoices and agreements of HalloW Props, whether concluded through the webshop, by email, through a quotation, or by another direct sales channel.
HalloW Props operates through the following websites:
www.hallowprops.eu
www.hallowprops.be
www.hallowprops.nl
www.hallowprops.de
Any customer terms or purchasing conditions apply only where HalloW Props has expressly accepted them in writing.
A consumer (B2C) is a natural person acting for purposes outside their trade, business, craft or professional activity.
A professional customer (B2B) is any natural or legal person acting for purposes relating to their trade, business, craft or professional activity.
Professional customers may be requested to provide company information, including a company registration number and/or VAT number.
An agreement is concluded when an order or quotation has been accepted in accordance with the ordering process and HalloW Props has confirmed the order, or when production has been expressly authorized following an agreed quotation.
These General Terms and Conditions are made available to the customer before or at the time the agreement is concluded and form part of the agreement where validly accepted.
For project-based, custom-made or B2B orders, the quotation or written order confirmation may contain additional or project-specific conditions. Where a specific written provision conflicts with these General Terms and Conditions, the specifically agreed provision will prevail for that particular order.
All prices are expressed in euro.
HalloW Props applies the applicable Belgian VAT treatment in force at the time of invoicing. Where HalloW Props operates under a Belgian VAT exemption scheme, VAT is not charged where legally applicable.
Shipping, transport, installation, on-site demonstrations and other additional services are not included unless expressly stated otherwise.
Quotations are based on the specifications, quantities and requirements known at the time the quotation is prepared.
If the customer subsequently requests modifications, additional options, different specifications or additional work, HalloW Props may adjust the price and delivery schedule accordingly. Any material change will be communicated before the additional work is carried out.
Professional customers may receive project-specific or volume-based pricing depending on the products, quantities, production requirements and total project value.
B2B project prices and discounts are not automatically cumulative with webshop promotions, discount codes, Black Friday promotions or other promotional offers, unless expressly agreed otherwise in writing.
Unless expressly agreed otherwise, webshop and standard orders must be paid in full before the order is processed or dispatched.
Unless otherwise stated in the quotation or order confirmation, custom-made, project-based and larger B2B orders are subject to the following payment schedule:
Production planning, purchasing of materials and/or production may begin after receipt of the agreed advance payment.
Goods will not be shipped, delivered or released for collection until all amounts due before delivery have been received in full.
A quotation or order confirmation may provide for a different payment schedule where appropriate for the project.
In the event of late payment by a professional customer, statutory late-payment interest and recovery compensation may become due in accordance with the Belgian legislation applicable to late payment in commercial transactions.
HalloW Props may suspend production, delivery, support or further performance of the agreement while undisputed overdue amounts remain unpaid, provided this is permitted by applicable law.
Late payment by consumers is handled in accordance with the mandatory Belgian rules applicable to consumer debts.
Any reminder, late-payment interest or fixed compensation will therefore only be charged in accordance with the applicable legal procedure, waiting periods and statutory limits.
Many HalloW Props products, particularly large props, animatronics and project-specific products, are manufactured specifically after an order has been placed.
HalloW Props does not maintain a permanent stock of every large prop or animatronic shown through its sales channels.
Images, videos and demonstration models may show previous projects or representative examples. Because many products are handmade, minor differences in finish, texture, colouring or appearance may occur where these do not materially affect the agreed functionality or essential characteristics of the product.
Changes requested by the customer after order confirmation are subject to technical feasibility.
Such changes may result in additional costs and/or an adjusted delivery schedule. Where applicable, HalloW Props will communicate these consequences before carrying out the requested modification.
Custom-made and project orders may involve advance purchasing of materials, reserved production capacity, engineering, design work and manufacturing specifically for the customer.
For professional customers, cancellation after confirmation of the order may therefore result in charges for work already performed, materials already ordered or committed, non-recoverable costs, reserved production capacity and other reasonable losses directly resulting from the cancellation.
Any amount payable following cancellation will be determined in accordance with the specific order, the stage of production and applicable law. Amounts already paid may be offset against these costs.
Additional cancellation conditions or payment milestones may be included in the quotation for substantial or highly customized projects.
Consumer cancellation and withdrawal rights are governed separately by applicable consumer law and the HalloW Props Refund & Returns Policy.
Estimated production and delivery times may be communicated in the webshop, quotation or order confirmation.
For custom-made, handmade and project-based products, delivery dates may depend on production requirements, material availability and third-party logistics.
Where a specific delivery date is essential, this must be expressly agreed in writing.
Nothing in this section limits mandatory consumer rights concerning delivery times.
Where HalloW Props arranges shipment to a consumer, the risk of loss or damage remains with HalloW Props until the consumer, or a third party designated by the consumer other than the carrier, physically receives the goods, except where applicable law provides otherwise.
Where the consumer independently appoints a carrier that was not offered by HalloW Props, risk may transfer when the goods are handed to that carrier in accordance with applicable law.
For professional customers, the agreed transport method and transfer of risk may be specified in the quotation or order confirmation.
Unless otherwise agreed in writing, risk transfers to the professional customer when the goods are physically delivered to the customer or its designated recipient.
If the professional customer arranges its own transport or appoints its own carrier, risk transfers when the goods are handed over to that carrier.
Any visible transport damage should be documented immediately and reported to HalloW Props and, where applicable, to the carrier as soon as reasonably possible.
Orders may be collected where this has been agreed in advance.
The outstanding balance must be paid in full before the goods are released. Risk transfers to the customer when the goods are physically collected by the customer or its representative.
To the extent permitted by applicable law, all goods remain the property of HalloW Props until all amounts due in relation to those goods have been paid in full.
For professional customers, the customer may not sell, pledge, transfer ownership of, or otherwise dispose of unpaid goods in a manner that prejudices the rights of HalloW Props, except where otherwise agreed or required by law.
Props, animatronics, controllers, pneumatic systems and special-effects products must be installed and operated correctly and in accordance with the supplied instructions and applicable safety requirements.
Unless expressly stated otherwise in writing, props and decorative materials should not be assumed to have been treated with certified fire-retardant materials or to hold a particular fire classification.
The customer is responsible for determining whether the intended installation and use comply with the fire, electrical, occupational, venue and other safety requirements applicable at the location where the products are used.
Products must not be modified, installed or operated in an unsafe manner.
HalloW Props is responsible for its contractual obligations in accordance with applicable law.
HalloW Props is not liable for damage resulting from incorrect installation, improper use, unauthorized modification, failure to follow instructions, use outside the intended specifications, or other circumstances attributable to the customer or a third party.
For professional customers, liability may be limited to the extent permitted by applicable law and any specific limitations agreed in the quotation or contract.
Nothing in these General Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.
Consumers benefit from the mandatory legal guarantee applicable to consumer goods. For new consumer goods, this generally covers lack of conformity appearing within two years after delivery, in accordance with applicable law.
Consumers must notify HalloW Props of a lack of conformity within the legally applicable period. Nothing in these General Terms and Conditions reduces the mandatory legal notification period or other statutory consumer guarantee rights.
Where the legal guarantee applies, the consumer is entitled to the remedies provided by applicable law, including repair or replacement where appropriate and legally required.
Professional customers must inspect delivered goods within a reasonable period after delivery.
Visible defects, incorrect quantities or obvious transport damage should be reported in writing as soon as possible and preferably within 48 hours after delivery.
Hidden defects should be reported in writing as soon as reasonably possible after discovery.
The customer should provide sufficient information to assess the complaint, including photographs and, where reasonably required, video or other technical evidence.
Prop controllers developed and sold by HalloW Props may be subject to separate warranty conditions.
These additional warranty conditions do not limit mandatory legal rights available to consumers.
Consumer withdrawal and return rights are described in the HalloW Props Refund & Returns Policy and apply in accordance with mandatory consumer law.
Professional customers do not have a statutory consumer right of withdrawal. B2B returns are accepted only where agreed in writing by HalloW Props or where required by applicable law.
Products made to the consumer's specifications or clearly personalized may be excluded from the consumer right of withdrawal where the legal requirements for that exception are met.
Unless expressly agreed otherwise in writing, all intellectual property rights relating to HalloW Props designs, technical developments, controller designs, software, documentation, photographs, videos, website content, texts and branding remain with HalloW Props or the respective rights holder.
Purchase of a product does not transfer intellectual property rights in its underlying design, software, documentation or branding.
Reproduction, commercial copying, reverse engineering or unauthorized commercial use of protected material is prohibited to the extent permitted by applicable law.
Personal data is processed in accordance with the HalloW Props Privacy Policy and applicable data protection legislation.
Where processing requires consent, consent will be requested separately. Placing an order does not constitute consent for processing activities for which separate consent is legally required.
Neither party will be liable for a failure or delay in performing contractual obligations to the extent that performance is prevented by circumstances beyond that party's reasonable control and where the requirements for force majeure under applicable law are satisfied.
Such circumstances may include, depending on the situation, serious illness, war, government restrictions, major transport disruptions, natural disasters, widespread power or network failures, or significant supply-chain disruptions.
The affected obligations may be suspended for the duration of the force majeure event. If performance becomes permanently impossible or the situation continues for an unreasonable period, the agreement may be terminated to the extent permitted by applicable law.
HalloW Props may update these General Terms and Conditions for future quotations, orders and agreements.
Unless required by law or expressly agreed with the customer, changes made after an agreement has been concluded do not retroactively alter the conditions applicable to that existing agreement.
If any provision of these General Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Agreements with HalloW Props are governed by Belgian law, subject to any mandatory legal protections that cannot validly be excluded.
For consumers residing in another country, this choice of law does not deprive them of mandatory consumer protection that applies to them under applicable European private international law.
For agreements with professional customers (B2B), disputes fall under the jurisdiction of the competent Belgian courts, unless mandatory law or a specific written agreement provides otherwise.
For consumers (B2C), jurisdiction is determined in accordance with the mandatory rules applicable to consumer disputes.
These General Terms and Conditions must be read together with the applicable Refund & Returns Policy, Privacy Policy, Cookie Policy and, where relevant, the Warranty Conditions for HalloW Props Controllers.
